New limitations for foreigners establishing companies in Slovenia


The latest amendment to the Companies Act (Zakon o gospodarskih družbah, ZGD-1) introduces new conditions for establishing companies in Slovenia for foreign citizens and legal entities.

The new rules - which previously applied only to Slovenian citizens / entities - require prospective shareholders of a Slovenian company to prove that they have not been convicted of certain criminal offenses, that they have no unpaid taxes and that they have not been fined more than once in the last 3 years for offenses related to the payment of wages or undeclared work.

The proofs may not be older than 30 days.
